Terms of Service

These terms govern your use of Wavnod's music distribution and rights-administration services. Please read them carefully — they form a binding agreement between you and Wavnod.

Wavnod should have these terms reviewed and adapted by a UAE-qualified lawyer — and any specific free-zone or regulatory requirements confirmed — before relying on or publishing them. 01 — The Agreement

Acceptance of These Terms

These Terms of Service ("Terms") are a binding agreement between you ("you," the "Client") and Wavnod ("Wavnod," "we," "us," or "our"), operated by [Legal entity name], a company registered in [free zone / emirate], UAE under trade licence no. [trade licence no.] ("the Company"). They govern your access to and use of our websites, applications, and services (collectively, the "Services").

By creating an account, signing a distribution or administration agreement with us, or otherwise using the Services, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy and Cookie Policy. If you do not agree, do not use the Services.

Where you enter into a separate written agreement with us (for example, a distribution or catalogue agreement), that agreement governs if it conflicts with these Terms.

02 — Definitions

Definitions

  • Content: sound recordings, musical works, artwork, metadata, lyrics, and any other material you deliver to us.
  • Platforms: digital service providers, streaming services, download stores, and other outlets to which we deliver Content (e.g., Spotify, Apple Music, Anghami, YouTube).
  • Royalties: income generated by the exploitation of your Content that we collect on your behalf under these Terms.
  • Net Royalties: Royalties received by us for your account, less our commission and any applicable third-party costs, charges, or taxes.
  • Administration: our collection, accounting, and payment of Royalties for the rights you assign to us, as described in Section 05.
03 — Eligibility

Who Can Use Wavnod

You must be at least 18 years old and able to enter into a binding contract to use the Services. If you use the Services on behalf of a company or other entity, you represent that you are authorised to bind that entity to these Terms.

You are responsible for ensuring that your use of the Services complies with the laws that apply to you, including in your country of residence.

04 — Your Account

Accounts & Security

To use most features you must create an account and provide accurate, current information. You are responsible for safeguarding your login credentials and for all activity under your account. Notify us promptly at hello@wavnod.com of any unauthorised use.

We may require identity or tax-status verification before distributing your Content or releasing payments, and may withhold distribution or payment until verification is complete.

05 — The Services & Rights You Grant

What We Do & What You Authorise

Subject to these Terms and any separate agreement, Wavnod provides digital distribution and rights-administration services: we deliver your Content to Platforms, register works where applicable, and collect and account to you for the Royalties your Content earns.

You grant Wavnod the right to carry out the Administration for the Content and territories you submit, including the right to deliver, reproduce, and make available your Content on Platforms, and to collect the associated Royalties, for the term of your agreement. The scope of rights is limited to what you expressly assign to us — nothing more.

You may submit Content on a non-exclusive basis unless your separate agreement states otherwise. You are responsible for ensuring you have not granted conflicting rights to another distributor, administrator, or organisation for the same Content and territory.

Delivery & metadata

You are responsible for the accuracy of metadata and release information you provide. Platforms set their own technical and content standards, and delivery timelines and availability are ultimately controlled by them, not by us.

06 — Ownership

You Keep Your Rights

As between you and Wavnod, you retain all ownership of your Content, including your masters and compositions. We claim no ownership interest in your Content. The rights you grant us are limited, and are for the purpose of providing the Services only.

Upon expiry or termination of your agreement, the rights you granted us wind down as described in Section 16, and you may take your Content elsewhere, subject to reasonable delivery and reconciliation timelines and any Platform processing periods.

07 — Our Role

We Are Not a Collective Management Organisation

Wavnod acts as an independent distributor and rights administrator for the specific Content that Clients assign to us directly. We collect and pay Royalties only for those Clients and that Content.

Important clarification

Wavnod is not a government-licensed collective management organisation (CMO) and does not administer territory-wide collective licensing in the United Arab Emirates. We do not represent the general repertoire of rights holders who have not signed with us, and we do not issue blanket licences on behalf of an entire class of works. Collective licensing of that kind in the UAE is carried out by organisations licensed by the relevant Ministry. If your needs require a CMO, we will help point you toward the appropriate body.

08 — Fees

Commission & Charges

In consideration for the Services, Wavnod retains a commission of [XX]% of the Royalties we collect for your account. Unless your separate agreement states otherwise, this commission is our principal charge and there are no hidden deductions.

Certain third-party costs (for example, Platform fees, payment-processing charges, currency conversion, or taxes/withholdings required by law) may be deducted from gross Royalties before your Net Royalties are calculated. We will identify such costs in your statements. We may change our fees on reasonable prior notice; changes do not apply retroactively to Royalties already earned.

09 — Royalties & Payouts

Collection, Reporting & Payment

We collect Royalties from Platforms as they report and remit them to us. Platform reporting is periodic and is often delayed by one or more cycles; we pass through Royalties on the basis of what we have actually received.

  • Statements: we provide statements of Royalties collected, our commission, and your Net Royalties through your account dashboard.
  • Payouts: you may withdraw available Net Royalties on a [monthly] cycle, subject to a minimum payout threshold of [amount] and successful verification of your payment and tax details.
  • Taxes: you are responsible for your own taxes. We may withhold amounts where required by law.
  • Adjustments: Platforms may revise, reverse, or charge back previously reported amounts (for example, for fraud or returns). We may correspondingly adjust your account.
10 — Your Warranties

What You Promise Us

You represent and warrant that, for all Content you submit:

  • You own or control all rights necessary to grant the rights in Section 05, and to authorise distribution and collection in the territories you select;
  • Your Content does not infringe any third party's intellectual property, privacy, publicity, or other rights;
  • You have obtained all necessary consents and paid (or will pay) any contributors, featured artists, producers, or co-writers;
  • The Content is not defamatory, unlawful, or in breach of any Platform's content policies;
  • You have not assigned conflicting rights in the same Content and territory to another party.
11 — Acceptable Use

Prohibited Conduct

You agree not to use the Services to:

  • Upload infringing, stolen, or unlicensed Content, or Content you are not authorised to distribute;
  • Engage in streaming manipulation, artificial streams, bot activity, or any practice that violates Platform rules or constitutes royalty fraud;
  • Distribute content that is illegal, hateful, or that sexualises or endangers minors;
  • Misrepresent your identity, rights, or affiliation, or impersonate another artist or rights holder;
  • Interfere with, probe, or attempt to gain unauthorised access to the Services or other users' accounts.

Streaming fraud and infringement can result in chargebacks, Platform penalties, account termination, and withheld or reversed Royalties.

12 — Suspension & Takedowns

Takedowns, Suspension & Disputes

We may remove or decline to distribute Content, suspend a release, or suspend or terminate your account if we reasonably believe Content infringes third-party rights, violates these Terms or Platform policies, or is the subject of a credible legal complaint or rights dispute.

Where lawful and practical, we will notify you and give you an opportunity to respond. We may withhold Royalties reasonably related to disputed Content until the matter is resolved.

13 — Our IP

Wavnod's Intellectual Property

The Services, including our platform, software, design, and the Wavnod name and logo, are owned by the Company or its licensors and are protected by intellectual property laws. These Terms grant you no right to use our marks or platform except as needed to use the Services. You may not copy, modify, reverse-engineer, or create derivative works from the Services.

14 — Liability

Disclaimers & Limitation of Liability

The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all implied warranties and do not guarantee specific Royalty amounts, Platform availability, uninterrupted service, or particular commercial results.

To the fullest extent permitted by law, the Company will not be liable for indirect, incidental, special, or consequential damages, or for lost profits or revenue. Our total aggregate liability arising out of or relating to the Services will not exceed the total commission actually retained by us in respect of your account during the [twelve (12)] months immediately preceding the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

15 — Indemnity

Indemnification

You agree to indemnify and hold harmless the Company and its officers, employees, and partners from any claims, losses, liabilities, and reasonable costs (including legal fees) arising out of your Content, your breach of these Terms, your breach of the warranties in Section 10, or your violation of any law or third-party right.

16 — Term & Termination

Term, Termination & Exit

These Terms apply for as long as you use the Services or have Content administered by us. Either party may terminate in accordance with any separate agreement, or — absent such an agreement — on [30] days' written notice.

On termination: (a) we will cease delivering your Content and request its removal from Platforms (which process on their own timelines); (b) we will carry out a final reconciliation and pay any Net Royalties due, less amounts reasonably withheld for pending adjustments or disputes; and (c) you may take your Content to another provider. Provisions that by their nature should survive termination (including Sections 06, 10, 13, 14, 15, and 17) will survive.

17 — Governing Law

Governing Law & Disputes

These Terms are governed by the laws of the United Arab Emirates [and the applicable laws of the Emirate of Dubai / the regulations of the relevant free zone, e.g. DIFC or ADGM — confirm with counsel].

The parties will first attempt to resolve any dispute in good faith. If unresolved, the dispute will be submitted to the exclusive jurisdiction of [the competent courts of Dubai, UAE / the DIFC Courts / arbitration administered by [forum] under its rules, seat [city], language English] — to be confirmed with your lawyer based on where Wavnod is registered.

Confirm before launch. Governing law and dispute-resolution wording depends on where the Company is incorporated (onshore vs. a free zone such as DIFC or ADGM). Have your lawyer set the correct forum.

18 — Changes

Changes to These Terms

We may update these Terms from time to time. When changes are material, we will update the "Effective" date and notify registered users by email or in-platform notice. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
